The Consultant will conduct research and analysis to identify market trends, competitors, and potential growth opportunities for the Client. 4. The Consultant will offer recommendations and assist in the development of comprehensive business plans and strategies. 5. The Consultant will provide ongoing support and guidance to the Client, including regular progress reports, performance monitoring, and adjustment of strategies as needed. Payment and Fees: 1. The Client shall pay the Consultant a mutually agreed-upon fee for the services rendered. The payment terms, including the schedule and method of payment, shall be addressed separately in an attached Appendix. 2. The Consultant reserves the right to invoice the Client for any additional expenses incurred during the course of providing the agreed-upon services, such as travel expenses, research costs, and material production fees. Confidentiality: 1. Both Parties acknowledge that in the process of the consultation, confidential and proprietary information may be disclosed. The Parties agree to maintain the confidentiality of such information and not to disclose it to any third parties without prior written consent. 2. The confidentiality obligations shall survive the termination or expiration of this agreement. Term and Termination: 1. This agreement shall commence on the effective date and continue until both Parties fulfill their obligations, unless otherwise terminated earlier in accordance with the provisions stated herein. 2. Either Party may terminate this agreement by providing a written notice of at least 30 days to the other Party. 3. Upon termination, the Client shall compensate the Consultant for all services rendered up until the termination date.
