The Wyoming Amendment to Articles is a legal document which allows business entities such as corporations and LCS to modify or amend their Articles of Incorporation or Articles of Organization. This amendment is necessary to update the articles of incorporation or organization to reflect changes in the business entity, such as a change of name, a change of purpose, a change in the business address, a change in the number of authorized shares, or the addition of new officers or directors. The Wyoming Amendment to Articles must be filed with the Wyoming Secretary of State and is subject to a filing fee. There are two types of Wyoming Amendment to Articles: a Certificate of Amendment and an Amended Articles of Incorporation or Organization. The Certificate of Amendment is a simpler document which is used to make minor changes to the Articles of Incorporation or Organization, such as a change of name or address. The Amended Articles of Incorporation or Organization is a more complex document which is used to make more substantial changes, such as the addition of new officers or directors or the change of the company's purpose.
