Wyoming Dissolution of Articles is a legal process in the state of Wyoming that allows a business entity to terminate its existence as a legally recognized entity. There are two types of Wyoming Dissolution of Articles: voluntary dissolution and involuntary dissolution. A voluntary dissolution is initiated by the corporation’s board of directors and is based on a majority vote of the shareholders. The board of directors must approve the articles of dissolution and submit them to the Wyoming Secretary of State. An involuntary dissolution is initiated by the Wyoming Secretary of State when a corporation fails to meet its filing or reporting requirements, fails to pay any required fees, or fails to meet any requirements of the Wyoming Business Corporations Act. The Wyoming Secretary of State will issue a Certificate of Dissolution to the corporation upon completion of the dissolution process.
