Blackout periods are legally-mandated timeframes when any corporate insider is forbidden to trade in the company's securities.Blackout periods may also be occasionally mandated due to special circumstances within a company that call for insiders to be precluded from trading in its securities.

The primary purpose of blackout periods in publicly traded companies is to prevent insider trading.The SEC prohibits employees, even top company officials, from trading based on company information that has not yet been made public.

There is a mandatory 2 week blackout period for all employees of the Company prior to the release of quarterly and annual financial statements which shall continue until two trading days after the time such information has been released to the public.
