A modification of contract is any change, in part or whole, occurring to a legally binding agreement between two or more parties. Any contract can be modified before or after signing the agreement, but all parties must agree to the changes. If any party doesn't agree to the modification, the changes are invalid.

Minor modifications to a contract can be handwritten onto the document. Clearly write the changes, and sign your initials next to each change, before signing the entire document. If the other party agrees to the changes, the other party will also initial the changes and sign the document.

Regardless of the form that a contract takes (e.g., oral versus written), a contract can usually be modified at a future date. A contract modification refers to a situation where the contracting parties agree to change the terms of their original agreement.

A non-variation clause generally provides that no amendment or variation of and to a written agreement will be binding on the parties unless such amendment or variation is reduced to writing and signed by both parties.

There are two types of contract modifications: unilateral and bilateral. Unilateral modifications are signed only by a contracting officer and are generally used to make administrative changes, issue change orders, make changes authorized by clauses other than the Changes clause, and issue termination notices.

Without the requirement of consideration, a party to a contract could declare that the contract should be modified or canceled whenever such a demand was advantageous. In contracts between merchants, a modification need not be supported by consideration.
