The red flag of misuse is when you ask for an NDA for a pitch meeting, a meet and greet, or a job interview. If your idea can be stolen after meeting someone for an hour for the first time, causing you irreparable harm in market, it's probably not a very good idea, or you're a terrible business person.

A confidentiality agreement is a standard written agreement that is used to protect the owner of an invention or idea for a new business. It is also an important document between two companies that are contemplating a merger or a commercial transaction that must be withheld from public knowledge.

However, it could come with severe financial penalties. Violating an NDA leaves you open to lawsuits from your employer, and you could be required to pay financial damages and possibly associated legal costs. It's illegal to reveal trade secrets or sensitive company information to a competitor.

Non-disclosure agreements, or NDAs as they are sometimes called, are legally enforceable agreements between parties that are used to ensure that certain information will remain confidential.

Similarly, the relationship of the parties created by a traditional NDA and those signing a DPA is different. Under an NDA, companies agree to protect the other side's ?secret sauce.? Under a DPA, however, the two parties partner together to protect information belonging to a third party?the data subject.

The short answer is yes?Canadian courts have, for the most part, held up NDAs as enforceable. However, there are a few important caveats: NDAs must meet requirements for being reasonable and of legitimate business interest (we'll explain those requirements in more detail below).

Thankfully, most jurisdictions allow for contracts, including NDA's, to be signed with a retroactive date. This is commonly referred to as backdating. But backdating (or adding a retroactive date) any contract can be tricky business, perhaps even more so with NDA agreements because of their nature and content.

Generally, this contract is signed prior to the employee's first day of work. However, some occasions require a retroactive contract. An example is when an employee starts off as a volunteer and is promoted to paid status. The retroactive employment contract is like any other.

Some confidential information may not need secrecy to extend beyond the end of the business relationship but others will require secrecy to continue to apply even after the termination of the business relationship. There's no one standard term but common confidentiality terms can range between 2, 3 and 5 years.
