Replacement Contract means a contract having a term, quantity, delivery rate, delivery point and product substantially similar to the remaining Term, quantity, delivery rate, Delivery Point and Product to be provided under this Agreement. Sample 2.

Always put a contract amendment in writing and make sure both parties sign and date it. Reference the title of the contract, if applicable; its original parties; and original signing date, so that it is clear what document you are amending. Attach the amendment to the original contract.

An example of an amendment are the changes made to the U.S. Constitution. The addition, deletion, correction, or other changes proposed or made to a document. The term is usually capitalized when referring to an amendment in the United States Constitution (for example, the Fifth Amendment).

The present Agreement supersedes, replaces and cancels in its entirety the earlier Agreement executed by the Parties hereto on (date). If more than one earlier document was executed on the same date, the new document should clearly identify which of the of earlier documents is being superseded.

When you amend a contract, you change the original contract in some way. This can include adding, deleting, or correcting portions of the contract. The contract amendment does not replace the entire contract, but often substitutes a part of it.

1. NOVATION: Novation occurs when a new contract is substituted for an existing contract either between the same parties or between different parties. The consideration for the new contract is the discharge of the old contract. Novation should take place before the breach or expiry of old contract.

If a contract already exists and you and the other party want to modify some element of it -- whether it's an addition (addendum), deletion, correction, or similar change -- an amendment is an ideal solution.
