TUPE stands for Transfer of Undertakings Protection of Employment rights. It is the law that protects employees, and their benefits, when their employment changes hands. TUPE regulations govern the transfer of employees from one company to another (in part or full). It applies to two relevant transfers: 1.

An 'ETO' reason is an 'economic, technical or organisational reason' to make staff changes, or changes to terms and conditions, following a TUPE transfer. Staff who are dismissed for a reason that is directly related to a TUPE transfer will have claims for 'automatically' unfair dismissal.

The period of protection afforded by TUPE is indefinite.

The purpose of TUPE is to protect employees if the business in which they are employed changes hands. Its effect is to move employees and any liabilities associated with them from the old employer to the new employer by operation of law.

TUPE legislation was designed to protect the rights of employees if the company they work for is going through any changes ? such as companies merging. The idea is that even if a company is changing hands, employee rights are protected under TUPE.

Any such changes will be void. However, it will be legal if it is unrelated to the transfer or the employer has an economic, technical or organisational (ETO) reason, entailing changes in the numbers or functions of the workforce. For example, it would be legal if the new job was part of a business reorganisation.

Adverse Possession means someone occupying land belonging to someone else, without permission. If someone does this continuously for a number of years (normally 10 or 12 years) then, in certain circumstances, the land may become theirs.
