A debenture is a loan agreement in writing between a borrower and a lender that is registered at Companies House. It gives the lender security over the borrower's assets. Typically, a debenture is used by a bank, factoring company or invoice discounter to take security for their loans.

Most often, it is as redemption from the capital, where the issuer pays a lump sum amount on the maturity of the debt. Alternatively, the payment may use a redemption reserve, where the company pays specific amounts each year until full repayment at the date of maturity.

According to section 71 of the Companies Act, 2013, a company may issue debentures with an option to convert debentures into shares either wholly or partly at the time of redemption. originally issued at a discount can be converted into shares on the basis of the nominal value of the debentures.

All debentures are loans, but not all loans are debentures. A loan must be paid back by a set date and must be secured against something of equal value.
