The majority of directors need to sign the board resolution in a private company. It should be 51% for example - if there are 3 directors then 2 should sign the board of resolution. In a Private Limited Company, there should be minimum of 2 directors. Therefore, both the Directors should sign the resolution.

All eligible directors must either sign copies of the written resolution, or otherwise agree to it in writing. A sole director will usually make decisions by written resolution.

The copies of resolutions passed at the meeting of the board of directors of a company may be required to be provided to statutory authorities while making applications on behalf of the company or in other cases, copies may be provided to any organisation / individual in relation to some business or other purposes.

Like any legal document, board directors must sign board resolutions to signify official approval.

States require incorporated companies to use corporate resolutions for recording major business decisions. The company's board of directors must vote to approve resolutions either during board meetings or in writing.

Certain types of resolutions must be filed at Companies House. A completed resolution, signed by the shareholders, (or a copy of it, signed by a director or the company secretary) should be sent to Companies House within 15 days of its being passed (ie voted on).

Signing Separate Copies Section 248A(2) of the Act states that directors may sign separate copies of a circulating resolution, as long as the wording of the resolution and the wording of the statement is identical on each document.
