Purchase orders are an official notice of an order and are the step that follows a proforma invoice. Once the purchase order is accepted, then a legally binding contract exists between the buyer and the seller.

A proforma invoice (or a pro forma invoice, preliminary invoice, or simply proforma) is a preliminary bill of sale sent to a client before work is completed. Unlike a typical invoice, it's a commitment to goods or services that haven't yet been delivered.

Only after a proforma invoice is converted to a true invoice will its value be registered in your accounts; this is because, until that point, there is no guarantee that the customer will agree to your terms.

Just remember to properly label it as 'proforma' and make sure it doesn't contain an invoice number, as this will change what is an informal document into a binding one. A payment due date and exact date of delivery are also not required.

Pro forma invoices are sent to buyers ahead of a shipment or delivery of goods or services. Most pro forma invoices provide the buyer with a precise sale price. A pro forma invoice requires only enough information to allow customs to determine the duties needed from a general examination of the included goods.

Once the final proforma invoice is accepted by the buyer, it should be signed by the authorized buyer/importer and returned to the exporter. The importer generally follows by submitting a Purchase Order.
