Before a promissory note can be canceled, the lender must agree to the terms of canceling it. A well-drafted and detailed promissory note can help the parties involved avoid future disputes, misunderstandings, and confusion. When canceling the promissory note, the process is referred to as a release of the note.

Once the debt of a promissory note has been satisfied, a release of promissory note should be executed by the holder of the note. Such a document serves as the borrower's proof that the debt has been paid. This is sometimes called a release and satisfaction of promissory note.

All Promissory Notes are valid only for a period of 3 years starting from the date of execution, after which they will be invalid. There is no maximum limit in terms of the amount which can be lent or borrowed. The issuer / lender of the funds is normally the one who will hold the Promissory Note.

Whatever the scope of the promissory note, the basic tenet is that once it is signed by the involved parties, it becomes a legal instrument that can be enforced via legal remedy if one of the parties does not uphold their end of the bargain.

A lender can file a civil suit for recovering the money owed through promissory note or loan agreement. He can do so under Order 37 of CPC which allows the lender to file a summary suit. Drafting the summary lawsuit is the initial step in this process, after which the borrower should be served with the summons.

Even legitimate promissory notes involve risks: competition, bad management or severe market conditions can impact the issuer's ability to carry out its promise to pay interest and principal to note buyers.

An amended promissory note is a legal document that changes the terms of the original promissory note. These amendments should be made with consent from the lender and, once in place, will be considered binding by all parties involved. Canceling a promissory note is a completely different process from amending it.
