The cell probably has some sort of document protection applied. On the Review tab, try clicking on the Restrict Editing button (right end of tab).

That is a "Content Control." Use the Properties to fix this. You can right-click on the control to change the properties. Otherwise, you can use the Properties button on the Developer Tab to reach them. Uncheck the one that says it can't be deleted.

Put your cursor where you want to add the table of contents. Go to References > Table of Contents. and choose an automatic style. If you make changes to your document that affect the table of contents, update the table of contents by right-clicking the table of contents and choosing Update Field.
