Ratification is when a document gets the approval of a person or group that has the authority to make law. Different legal documents are ratified in different ways. Article VII of the U.S. Constitution, for example, specified that the Constitution would become law when ratified by 9 out of 13 states.

The Companies hereby ratify and confirm all of the terms and provisions of the Note Purchase Agreement and the other Transaction Documents and agree that all of such terms and provisions, as amended hereby, remain in full force and effect, except as, and to the extent expressly set forth herein.

Once these contingencies are met or waived, and both parties confirm their commitment to the terms, the contract is considered ratified. At this point, it becomes a fully enforceable agreement, and any subsequent breach or failure to complete the transaction may lead to legal consequences.

Ratification defines the international act whereby a state indicates its consent to be bound to a treaty if the parties intended to show their consent by such an act.
