Use Name Contract For Free

Name Clause: This clause specifies the name of the company. The name of the company should not be identical to any existing company. Also, if it is a private company, then it should have the word 'Private Limited' at the end. In the case of a public company, then it should add the word ?Limited? at the end of its name.

Company expressly prohibits any direct or indirect use, reference to, or other employment of its name, trademarks, or trade name exclusively licensed to Company, except as specified in this Agreement or as expressly authorized by Company in writing.

Two High Court decisions illustrate that even when a legal name is not used in a contract, the agreement may still be valid as long as clear intention is displayed. However, it's best to get it right when you initially draft the contract.

Except as otherwise provided herein, neither Party shall have any right, express or implied, to use in any manner the name or other designation of the other Party or any other trade name, trademark or logo of the other Party for any purpose in connection with the performance of this Agreement.

Choosing a contract title The title of a contract should simply reflect the nature or central purpose of the agreement, indicating whether it is a licence, confidentiality agreement or other contract.

The Company shall have the right to use the Executive's biography, name and likeness in connection with its businesses, subject to Executive's approval, including in advertising its products and services, but not for use as a direct or indirect endorsement.
