A director or the entire board may be removed (aka recalled) from office under a number of circumstances. The removal may be performed by the board, the membership, or a court of law. Removal of a director is distinct from the resignation of a director.

A director may be removed from office by ordinary resolution of the members passed at a general meeting of a company before the expiration of their period of office and notwithstanding anything in any agreement between the director and the company, pursuant to section 168 of the Companies Act 2006 (CA 2006).

Section 168(1) of the Act states that the shareholders can remove a director by passing an ordinary resolution at a meeting of the company.

If there is no right to terminate a director from his office under the articles of association, then it is possible for the shareholders of the company to remove the director from his office by an ordinary resolution provided that the strict procedure under the section 168 of the Companies Act 2006 is followed.

Instead of a meeting, a corporate board can seek out the specific written consent for removal of a director from shareholders holding the sufficient majority of voting shares.

As mentioned in Limitations on use above, a written resolution may not be used to remove an auditor before the expiration of their term of office.

For companies that do not have such powers enshrined in their articles of association, the Companies Act 2006 provides a statutory procedure to allow the shareholders agreement to remove a director by passing an ordinary resolution (i.e. anything over 50%) at a general meeting of the company.

The Statutory ProcedureA shareholder wishing to propose a resolution to remove a director must give special notice of his intention to the company. On receipt of this special notice, the board of directors must call a general meeting of the shareholders of the company to consider the proposed resolution.

The relevant shareholders must serve special notice on the company of any resolution to remove a director under the provisions of the Act. This must be given to the company at least 28 clear days before the meeting at which the resolution will be moved.
