The CISG applies to contracts for the sale of goods, including aircraft, between parties whose places of business are in different countries where both countries are contracting states under the CISG (e.g. have agreed to be bound by the CISG).

The CISG does not apply to contracts to provide services alone. Generally, it does not apply to sales of goods bought for personal, family or household use. For example, ordinarily, it would not apply to the sale of a camera or clothing to a foreign tourist.

The UCC is enforceable in merchant-merchant contracts as well as in merchant-non merchant contracts. The Contracts for the International Sale of Goods (CISG) applies to the sale of goods, amongst parties whose countries have signed the convention.

Moreover, under its article 1(1)(b), the CISG applies to contracts for the international sale of goods when the rules of private international law indicate the law of a CISG contracting State as the law applicable to the contract for international sale of goods.

The CISG applies to contracts of the sale of goods between parties whose places of business are in different States, when the States are Contracting States (Article 1(1)(a)). Given the significant number of Contracting States, this is the usual path to the CISG's applicability.

Basically, the broad categories that are not covered are transactions involving the sale of real estate, transactions involving the sale of businesses (although other articles of the UCC can and will apply), and transactions involving "intangibles, such as goodwill, patents, trademarks, and copyrights."

The first and arguably most important principle is that there is no UCC outside of the United States. The Uniform Commercial Code, and by extension, Article 9, exist only in the U.S.

In one or another of its several revisions, the UCC has been fully enacted with only minimal changes in 49 states, as well as in the District of Columbia, Guam, the Northern Mariana Islands, and the U.S. Virgin Islands.

The increased use of the CISG by U.S. courts represents a positive trend. Therefore, it has become important that U.S. attorneys be familiar with the CISG to properly represent their clients by either planning for the transaction to be governed by the CISG or by choosing to opt out of it, and doing so effectively.

Note that the UCC is applicable in sales, leases, negotiable instruments, bank deposits, funds transfers, letters of credit, bulk transfers and bulk sales, warehouse receipts, bills of lading and other documents of title, investment securities, and secured transactions of commercial transactions.
