The following Indemnification Agreement is entered into by and between the City of Miami, Florida, and L.E.S.B.P., a wholly owned subsidiary of the City of Miami, Florida in consideration of L.E.S.B.P.'s representation, guarantee, indemnification, and endorsement of the City, to be used to satisfy the amounts owing for services performed, costs incurred, and liability imposed under the terms and conditions set forth in this Indemnification Agreement. E.M.S.B.P.'s Responsibilities As provided below to the extent applicable, the following is a detailed description of the City's and L.E.S.B.P.'s responsibilities under the terms and conditions contained in this Indemnification Agreement: (A) City shall maintain and maintain all right, title, and interest in all L.E.S.B.P.'s assets and provide financial and other assistance of a reasonable and prudent nature to L.E.S.B.P. as L.E.S.B.P. may request.
