There are only two ways in which a partner can be removed from a partnership or an LLP. The first is through resignation and the second is through an involuntary departure, forced by the other partners in accordance with the terms of a partnership agreement.

The agreement may provide that a partner may be expelled upon vote of the other partners for any reason or no reason. Or, it may specify certain reasons for expulsion, such as: breaching the partnership agreement or otherwise failing to carry out the partner's obligations under the agreement.

(1) A partner may not be expelled from a firm by any majority of the partners, save in the exercise in good faith or powers conferred by contract between the partners. (2) The provisions of sub-sections (2), (3) and (4) of section 32 shall apply to an expelled partner as if he were a retired partner.
