(2) Each member of the partnership shall have one vote on all other matters and shall vote in person or by proxy unless there is written or electronic authorization for all other voting or casting to be by proxy for each member. To establish an election requirement for all actions pursuant to this Agreement, the member seeking to vote by the qualified electors of such member or class of voting members may file a written request, on or before 30 days after the date of the last regular meeting of such class (as specified in subparagraph 1), setting forth such facts as may be relevant to such request. If the request is timely filed, the election shall be conducted by voting by proxy pursuant to the provisions of the Florida Agreement. Upon written approval, all other matters related to any action taken by vote of the group shall be determined in conformance with, and subject to, the provisions of the Florida Agreement.
