To add or remove an Officer, Director, or Manager, you will need to file an amendment or the annual report for the current calendar year or an amended annual report.

Your bylaws are an internal document that exists for the running of your organization. The Florida Secretary of State does not require you to file bylaws. However, if you file for 501(c)(3) tax-exempt status with the IRS, you will need to attach your bylaws to the application.

(1) A corporation shall have the officers described in its articles of incorporation or its bylaws who shall be elected or appointed at such time and for such terms as is provided in the articles of incorporation or the bylaws.

Charitable organizations or sponsors intending to solicit contributions from the public in Florida must annually register with the Division of Consumer Services. Access the required forms on the DACS website. See Chapter 496, F.S.

(2) Any registered agent may resign his or her agency appointment by signing and delivering for filing with the Department of State a statement of resignation and mailing a copy of such statement to the corporation at its principal office address shown in its most recent annual report or, if none, filed in the articles

To change your Florida registered agent, you can file a simple form along with a cover letter with the Florida Department of State Registration Section, Division of Corporations. The LLC fee to file is $25.
