The removal of a limited company director may arise for any number of reasons, such as voluntary resignation or retirement, illness or death, bankruptcy, disqualification by the Court, or a breach of service contract. The reason for a director's removal will dictate which procedure the company should follow.

Shareholders must serve formal notice on the company, at its registered office, of any resolution to remove a director by at least 28 clear days before a general meeting. On receipt of such special notice, the board must convene a meeting and send a copy of the notice to the director concerned.

If you use the replaceable rules: A director can resign as a director of a company by giving written notice of your resignation to the company at its registered office; A proprietary company may, by resolution, remove a director from office and may, by resolution, appoint another person as a director instead;

Generally, a majority of shareholders can remove a director by passing an ordinary resolution after giving special notice.
