(1) Written notice of a meeting of a company's members must be given individually to each member entitled to vote at the meeting and to each director. Notice need only be given to 1 member of a joint membership. (2) Notice to joint members must be given to the joint member named first in the register of members.

According to Sec. 189(1), an ordinary resolution is that which can be passed at a general meeting by simple majority (including a casting vote of the chairman, if any), votes being cast by the members present either in person or by proxy and either by show of hands or by poll.

Such notice is required to be sent by members to the company not earlier than three months but at least 14 days before the date of the meeting at which the resolution is to be moved. Such period shall exclude the day on which the notice is given and the day of the meeting.

Special Resolution A special resolution is one which requires at least 3/4th majority of the members voting on it at the General Meeting. The voting can be by a show of hands or by poll. A notice has to be given at least 21 days before the meeting in which a special resolution is passed.
