A Limited Liability Company ("LLC") is a separate legal entity that can conduct business just like a corporation with many of the advantages of a partnership. It is taxed as a partnership. A creditor who complies with the requirements of Article 9 can create a security interest that protects him against the debtor's default by allowing the creditor to recover by selling the goods covered by the security interest.
