The CISG governs contracts for the international sales of goods between private businesses, excluding sales to consumers and sales of services, as well as sales of certain specified types of goods.

CISG was adopted by the United States in 1988, and as of 2006, has been adopted by 70 countries. It applies to all contracts for the international sale of goods between parties with their relevant places of business in different countries, or Contracting States.

Transactions that involve goods but that are not sales e.g., leases of goods, use of goods purely as collateral for financial credit are not covered. 2. The contract of sale must be international, defined as between parties located in different States. Purely domestic transactions are outside the scope of the CISG.

The CISG contains rules governing the making and interpretation of international contracts for the sale of goods. It also provides rules governing obligations and remedies of the parties to such transactions. The CISG does not deprive sellers and buyers of the freedom to mold their contracts to their specifications.

It applies to contracts for sale of goods between parties whose places of business are in different Contracting States, or when the rules of private international law lead to the application of the law of a Contracting State. It may also apply by virtue of the parties' choice.

The CISG governs contracts for the sale of goods that are between sellers and buyers whose relevant places of business are in different countries that have made the CISG part of their law, called "Contracting States." This is the general rule in the United States.

According to the CISG, article 14(1) introduces a similar provision, which is that the offer must be sufficiently definite. Therefore, if the unessential terms of the contract have been left open, the contract is presumed to be binding under the CISG.
